Legal terms and conditions for using omnionex services

Welcome to omnionex. These Terms of Service ("Terms") constitute a legally binding agreement between you and omnionex d.o.o. ("omnionex", "we", "us", "our") regarding your use of our website, student success analytics platform, and related services.
By accessing or using our services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must not use our services.
omnionex provides student success analytics dashboards and related educational technology services to educational institutions. Our platform offers data analytics, predictive modelling, and insights designed to improve student outcomes and educational decision-making.
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice, though we will make reasonable efforts to provide advance notice of significant changes.

If you purchase our services, you agree to pay all applicable fees as described in your service agreement. Payment terms, billing cycles, and pricing information will be specified in your individual contract or service agreement.
All fees are non-refundable unless otherwise specified in your service agreement or required by applicable law. We reserve the right to modify our pricing with reasonable advance notice.
While we strive to maintain high availability of our services, we do not guarantee uninterrupted or error-free operation. Our services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
We will make reasonable efforts to provide advance notice of scheduled maintenance that may affect service availability.
To the maximum extent permitted by applicable law, omnionex shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or relating to your use of our services.
Our total liability for any claims arising out of or relating to these Terms or our services shall not exceed the amount you paid to us for the services in the twelve months preceding the claim.
Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless omnionex, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of our services or violation of these Terms.
These Terms shall be governed by and construed in accordance with the laws of the Republic of Croatia, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts of Zagreb, Croatia.
If you are a consumer residing in the European Union, you may also have rights under the laws of your country of residence, and nothing in these Terms affects those rights.
We encourage you to contact us directly to resolve any disputes. If a dispute cannot be resolved through direct communication, it shall be resolved through binding arbitration in accordance with the rules of the Croatian Chamber of Economy, unless prohibited by applicable law.
Either party may terminate the service agreement with reasonable notice as specified in the individual service contract. We may also terminate or suspend your access immediately, without prior notice, if you violate these Terms or engage in conduct that we determine to be harmful to our services or other users.
Upon termination, your right to use our services will cease immediately. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property rights, limitation of liability, and governing law.
We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable. The invalid provision will be replaced with a valid provision that most closely matches the intent of the original provision.
These Terms, together with our Privacy Policy and any individual service agreements, constitute the entire agreement between you and omnionex regarding the use of our services and supersede all prior agreements and understandings.
